In today\u2019s life sciences industry, many startups and emerging companies have obtained a competitive advantage based on their proprietary technology. To sustain long-term growth, many companies actively seek the market\u2019s attention for fundraising, by for example, initial public offerings or collaborations. These business development activities often involve a large amount of information sharing and could expose companies to intellectual property risks.<\/p>\n\n\n\n

Patents and trade secrets are two distinct forms of intellectual property. Patents are exclusive rights, granted for a limited term, for an invention that is novel, has an inventive step, and is capable of industrial application. Patents encourage innovation by providing a government-sanctioned competitive advantage to the right holders, and in return, requiring disclosure of the patented invention. After patent expiry, the disclosed invention becomes part of the public domain.<\/p>\n\n\n\n
